These Terms of Use apply only to the Baxter Labs public website. Paid consulting, implementation, automation, and other services are governed by separate written agreements.

These Terms of Use govern your access to and use of the Baxter Labs website, including baxterlabs.io and any related pages, content, forms, demonstrations, or features operated by Baxter Labs LLC ("Baxter Labs," "we," "us," or "our").

By accessing or using this website, you agree to these Terms of Use. If you do not agree to these Terms, please do not use the website.

1. About Baxter Labs

Baxter Labs LLC provides business operations consulting, systems design, workflow automation, software integration, custom technology implementation, AI-enabled solutions, and related operational and technology services.

Baxter Labs designs custom operations and automation systems that connect existing tools, streamline workflows, and apply AI where it adds real value.

Our work may include evaluating business processes, identifying operational inefficiencies, designing improved workflows, integrating existing software, building custom systems, automating repetitive work, developing dashboards and reporting systems, implementing document and data workflows, and providing ongoing technical or operational support.

The information presented on this website is intended to describe Baxter Labs' capabilities, approach, services, and examples of systems we may design or implement.

Website content does not constitute an offer to provide services on any particular terms.

2. Website Use Does Not Create a Client Relationship

Viewing this website, submitting a contact form, sending an email, scheduling a consultation, requesting information, or otherwise communicating with Baxter Labs does not by itself create a client, consulting, contractor, fiduciary, partnership, or other professional relationship.

A client relationship is established only when Baxter Labs LLC and the applicable client enter into a separate written agreement governing the services to be provided.

Any master services agreement, statement of work, proposal, service agreement, or other written contract entered into between Baxter Labs LLC and a client will govern those services and will control if it conflicts with these Terms of Use.

3. Website Information Is General in Nature

Information provided through this website is for general informational and business-evaluation purposes.

Website content may discuss business operations, workflow design, automation, artificial intelligence, software integrations, technology architecture, data processing, reporting, or other subjects relevant to Baxter Labs' services.

Website content is not intended to constitute legal, accounting, tax, financial, investment, regulatory, cybersecurity, compliance, or other licensed professional advice.

You are responsible for obtaining appropriate professional advice when your business activities require it.

4. Systems, Automation, Software, and Artificial Intelligence

Systems designed, demonstrated, or discussed by Baxter Labs may rely on technologies including software applications, workflow automation platforms, databases, cloud infrastructure, third-party APIs, artificial intelligence, machine learning, document-processing tools, communication platforms, and other technologies.

Automated systems and AI-enabled tools may occasionally produce incorrect, incomplete, delayed, unexpected, or inconsistent results.

The appropriate level of human review, approval, validation, monitoring, and oversight depends on the particular system, business process, and use case.

Automated and AI-enabled outputs should be reviewed and validated as appropriate for the particular use case before being relied upon for material business decisions or actions.

Nothing presented on this website should be interpreted as a representation that any automated or AI-enabled system is error-free, completely autonomous, suitable for every purpose, or capable of replacing appropriate professional judgment or human oversight.

Specific responsibilities for system review, operation, monitoring, testing, maintenance, and approval will be governed by the applicable client agreement where Baxter Labs is engaged to provide services.

5. Demonstrations, Case Studies, and Examples

Baxter Labs may display case studies, screenshots, diagrams, demonstrations, sample workflows, dashboards, process descriptions, system architectures, metrics, or other examples of work or capabilities.

These materials may reflect systems designed for particular businesses, operating environments, software platforms, datasets, requirements, or business processes.

They are provided to demonstrate Baxter Labs' capabilities and approach.

Examples and demonstrations may be simplified, anonymized, redacted, reconstructed, modified, or illustrative and may not depict every feature, condition, data element, implementation detail, or characteristic of an actual production system.

Unless expressly stated otherwise, examples should not be interpreted as a representation or guarantee that:

  • The same system will be appropriate for another business.
  • Identical functionality can be implemented in every environment.
  • The same integrations or third-party services will remain available.
  • Similar results will be achieved by another client.
  • Any particular amount of time, money, labor, or cost will be saved.
  • Any particular increase in revenue, productivity, profitability, or operational efficiency will occur.

Each client environment and project is different and may require separate evaluation, design, implementation, testing, and support.

6. No Guarantee of Business Results

Baxter Labs may describe potential benefits associated with improved operations, systems integration, automation, artificial intelligence, or custom technology.

Potential benefits may include reducing repetitive work, decreasing manual data entry, improving access to information, increasing process consistency, improving operational visibility, reducing errors, saving time, or allowing employees to focus on higher-value work.

Actual results depend on numerous factors outside Baxter Labs' control, including existing business processes, data quality, software systems, third-party providers, employee adoption, management decisions, operating conditions, technology limitations, implementation requirements, and client participation.

Baxter Labs does not guarantee any particular amount of revenue growth, profitability, savings, productivity improvement, labor reduction, efficiency gain, performance improvement, or other business outcome based solely on information presented on this website.

7. Third-Party Platforms and Services

A third party may modify or discontinue an API, integration, product, pricing model, authentication method, feature, or service at any time.

References to third-party businesses, products, services, trademarks, or platforms do not imply endorsement, sponsorship, partnership, or affiliation unless expressly stated.

Your use of third-party products or websites may also be governed by the third party's own agreements, policies, and terms.

9. Confidential Information and Initial Discussions

Because no client relationship exists until a written agreement is executed, you should not assume that unsolicited information submitted through the public website is subject to contractual confidentiality obligations.

If Baxter Labs and a prospective client need to exchange confidential or proprietary information before entering into a services agreement, the parties may enter into a separate confidentiality or nondisclosure agreement when appropriate.

Nothing in this section changes any confidentiality obligations Baxter Labs expressly agrees to in writing.

12. Baxter Labs Methods and Know-How

Baxter Labs' capabilities may be informed by experience developing business processes, architectures, automation patterns, system designs, integration methods, templates, workflows, software components, implementation approaches, prompts, data structures, internal tools, and other generalized knowledge.

Descriptions or examples of these capabilities on the website do not grant visitors any ownership interest in Baxter Labs' underlying methodologies, tools, systems, intellectual property, or know-how.

Ownership and licensing of technology, deliverables, custom development, and intellectual property created during paid client engagements will be governed separately by the applicable written client agreement.

13. Feedback and Suggestions

If you voluntarily provide Baxter Labs with general suggestions, ideas, comments, recommendations, or feedback concerning our website, services, systems, products, or business, Baxter Labs may use that feedback without restriction or compensation.

This section does not grant Baxter Labs ownership of confidential client information, proprietary business information, or materials protected by a separate written agreement.

15. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the website and its contents are provided on an "as is" and "as available" basis.

Baxter Labs makes no warranties regarding the website or website content, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, Baxter Labs disclaims implied warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability.

Baxter Labs does not warrant that the website will be free from vulnerabilities, interruptions, errors, viruses, malicious components, or other technical issues.

Some jurisdictions may not permit certain warranty exclusions, so portions of this section may not apply in all circumstances.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Baxter Labs LLC and its owners, members, employees, contractors, affiliates, agents, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:

To the fullest extent permitted by applicable law, the aggregate liability of Baxter Labs LLC and its owners, members, employees, contractors, affiliates, agents, and representatives arising out of or relating to the website or these Terms, under any theory of liability, will not exceed the greater of one hundred U.S. dollars ($100) or the amount, if any, you paid Baxter Labs specifically for access to the website during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

Liability relating to paid services provided by Baxter Labs LLC will be governed by the applicable written client agreement rather than these Website Terms of Use.

17. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Baxter Labs LLC and its owners, members, employees, contractors, affiliates, agents, and representatives from third-party claims, damages, liabilities, losses, and reasonable expenses, including reasonable attorneys' fees, arising from:

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

To the extent a dispute relating to these Terms or use of the public website may properly be brought in court, the parties consent to the exclusive jurisdiction and venue of the state courts located in DuPage County, Illinois, or the United States District Court for the Northern District of Illinois, Eastern Division, as applicable, subject to applicable law.

20. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

21. No Waiver

Failure by Baxter Labs to enforce any provision of these Terms does not constitute a waiver of that provision or of Baxter Labs' right to enforce it in the future.
